**Cookie Workz LLC Commercial License Agreement**

This Commercial License Agreement (“Agreement”) is a legally binding agreement between Cookie Workz LLC, a United States limited liability company (“Cookie Workz,” “we,” “us,” or “our”), and you (“Licensee,” “you,” or “your”).

This Agreement governs your use of any digital designs, including but not limited to STL files and other 3D model files (collectively, the “Designs”) created and distributed by Cookie Workz through cookieworkz.com or any officially authorized Cookie Workz platforms.

By purchasing, accessing, or maintaining a Cookie Workz commercial license or subscription, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to your continued compliance with this Agreement and maintenance of an active, paid subscription, Cookie Workz grants you a limited, non-exclusive, non-transferable, revocable commercial license to:

  • Manufacture physical products only using Cookie Workz Designs; and

  • Sell those physical products for commercial purposes.

This license remains valid only while your subscription is active and paid. Upon expiration, cancellation, or non-payment, all commercial rights immediately terminate, and you must cease selling any products derived from Cookie Workz Designs.

Canceling your subscription does not immediately terminate the license; it remains valid until the end of the current billing cycle.

This Agreement does not include automatic file deliveries. Digital files must be acquired separately through Cookie Workz’s website or authorized platforms.

Both free and paid Designs are covered under this license only during an active subscription period.

Cookie Workz reserves the right to revoke this license:

  • With at least 90 days’ written notice, or

  • Immediately, without notice, in the event of misuse, infringement, or breach of this Agreement.

2. Permitted Use

You may sell physical prints only of Cookie Workz Designs, except for any designs explicitly excluded due to licensing restrictions, fan art, collaborations, commissions, charity projects, or third-party intellectual property considerations.

Cookie Workz reserves the right to modify the list of excluded Designs at any time.

No ownership rights are transferred. All intellectual property rights remain the exclusive property of Cookie Workz LLC.

3. Prohibited Use & Limitations

This license is granted to one individual or one business entity operating from a single physical location.

You may not:

  • Sell, share, redistribute, upload, or sublicense any digital files

  • Provide digital files to third parties

  • Sell digital versions of the Designs

  • Use the Designs for mass production, injection molding, or industrial manufacturing

  • Use the Designs in any unlawful or infringing manner

Mold Making

Mold making is prohibited unless expressly approved in writing by Cookie Workz.

Cookie Workz reserves the right to revoke mold approval immediately if misuse or unforeseen circumstances occur.

Violations may result in immediate license termination and legal action.

4. Modifications

Modification of Cookie Workz Designs is not permitted, except as outlined below.

Allowed modifications (without approval):

  • Scaling the model

  • Hollowing the model for printing efficiency

  • Adding small holes for functional use (e.g., ornaments)

  • Adding handles to back of stamps for ease of use

Prohibited modifications:

  • Combining multiple designs into a new model

  • Using parts of a design to create new designs

  • Altering the core appearance, expression, or identity of a design

  • Adding embedded logos or branding (physical stickers applied post-production are allowed)

Written approval is required for any other modifications.

5. Attribution & Merchant Identification

You must display your Cookie Workz Merchant ID on all product listings selling Cookie Workz Designs.

The Merchant ID must be clear, visible, and readable, and may be displayed as:

  • A watermark on at least one product image

  • A standalone product image

  • Placement in the listing banner

  • Attribution in listing description

Merchant IDs are permanent and unique. If you cancel and later reactivate your subscription, your original Merchant ID will be reused.

Use of the Cookie Workz logo is optional. If used, it must not be altered, obscured, or modified.

6. DMCA & Intellectual Property Enforcement

All Cookie Workz Designs are protected under United States copyright law, the Digital Millennium Copyright Act (DMCA), and applicable international treaties.

Unauthorized use, distribution, reproduction, or sale of Cookie Workz Designs—digital or physical—constitutes copyright infringement.

Cookie Workz actively enforces its intellectual property rights and reserves the right to:

  • Issue DMCA takedown notices to marketplaces, platforms, and hosting providers

  • Report infringing listings to platforms such as Etsy, Amazon, eBay, Shopify, and others

  • Terminate licenses immediately for infringement

  • Pursue legal remedies, including damages, injunctive relief, and attorney’s fees where permitted by law

If you believe a DMCA notice was submitted in error, you must contact Cookie Workz directly before filing a counter-notice.

7. Termination

Cookie Workz may suspend or terminate this Agreement immediately if you:

  • Breach any term of this Agreement

  • Infringe Cookie Workz’s intellectual property

  • Misrepresent your licensing status

  • Engage in fraudulent, abusive, or unlawful activity

Upon termination, all rights granted under this Agreement immediately cease.

8. Indemnification

You agree to indemnify, defend, and hold harmless Cookie Workz LLC, its owners, officers, employees, and affiliates from any claims, damages, liabilities, losses, or expenses arising out of:

  • Your use of the Designs

  • Products you manufacture or sell

  • Violations of this Agreement

  • Violations of applicable laws or third-party rights

9. Disclaimer of Warranties

All Designs are provided “AS IS” and “AS AVAILABLE.”

Cookie Workz makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Cookie Workz is not responsible for print quality, product safety, regulatory compliance, or end-user use.

10. Limitation of Liability

To the fullest extent permitted by law, Cookie Workz LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from this Agreement or use of the Designs.

11. Governing Law & Venue

This Agreement shall be governed by and construed under the laws of the United States and the State in which Cookie Workz LLC is registered, without regard to conflict-of-law principles.

Any legal action shall be brought exclusively in the courts of that jurisdiction.

12. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Cookie Workz LLC regarding the subject matter herein and supersedes all prior agreements or understandings.

14. Updates to Agreement

Cookie Workz reserves the right to modify this Agreement at any time. Continued use of the Designs after updates constitutes acceptance of the revised terms.
